Lisa Thorsen
Founding Partner
Lisa Thorsen is a business attorney with over 14 years’ experience. She is licensed in Texas and California and is the founder of Thorsen Legal. As outside general counsel, Lisa provides a range of services, from company formations to corporate transactions, including mergers and acquisitions, asset and stock purchases and sales, debt and dispute settlements, company structuring, and licensing matters.
Transactional Experience
Lisa has represented entrepreneurs, their companies, and private equity investors on millions of dollars in venture capital financings, acquisitions, and complex transactions comprising a broad, diverse set of business models, industries, and growth paths.
Mergers & Acquisitions
Lisa leads our Mergers and Acquisitions team. Lisa is experienced in drafting, reviewing, and negotiating asset purchase agreements and stock purchase agreements. She also drafts, reviews and negotiates membership interest purchase agreements and other business sale agreements. Lisa provides legal counsel on due diligence, letters of intent, purchase agreements, seller financing, lease assignments, technology transfers, and contract assignments. The majority of Lisa’s M&A clients are small or medium sized business. Lisa represents first time sellers, serial entrepreneurs, strategic acquirers, business investors and private equity companies.
Business Transactions
As a business attorney, Lisa drafts, reviews and negotiates a wide variety of commercial contracts. These include licensing agreements, vendor agreements and supplier agreements. Lisa also drafts distribution agreements, service agreements and joint partnership agreements. Lisa is a skilled advisor to businesses in their day to day business operations. Lisa advises clients on all types of business transactions and business disputes. Lisa drafts, reviews and negotiates internal documents such as partnership agreements, buy sell agreements, and stock restriction agreements. She is experienced with drafting vesting agreements and executive employment agreements. In law school Lisa worked with the in-house legal department at the world headquarters of a global Fortune 500 company.
Outside General Counsel
As a technology lawyer, Lisa represents numerous Austin technology companies. As a CEO of her own technology company, Lisa saw first-hand the struggles that many tech companies face. Lisa has represented software developers, SaaS companies, e-commerce companies and internet companies. She has also represented artificial intelligence companies, robotics companies and digital electronics companies. Lisa’s clients range in size from tech startups to enterprise tech companies. Lisa is experienced with master service agreements, statements of work and technology licensing agreements.
Assists with Capital Raises
Lisa assists clients with fundraising, finance, equity sales and asset sales. She reviews and advises on investment documents; including convertible notes, series seed, and series A financing for both investors and entrepreneurs. Lisa and her husband Mark have been actively involved in the Central Texas Angel Network and Austin angel investment community. As such, she has assisted numerous angel investors and entrepreneurs with capital raises and business finance law.
Entertainment Attorney
Lisa assists professional athletes, musicians, songwriters, and producers. She also has clients who are film companies, authors and public figures. She has worked with models, celebrities and other creative professionals. At Thorsen Legal, Lisa assists her entertainment clients with legal matters, branding and promotion. Lisa reviews, drafts and negotiates endorsement agreements, appearance agreements, television agreements, commercial filming agreements, agent agreements, publicity agreements and other agreements. Lisa is particularly concerned about protecting the intellectual property, music rights, motion picture rights and television rights of creative professionals.
Commercial Lease Attorney
Lisa represents both landlord and tenants in the drafting, review and negotiation of commercial leases. Her commercial leasing clients include commercial real estate investors and management firms as well as business owners.
Intellectual Property Attorney
Lisa reviews, drafts and negotiates licensing agreements and confidential information agreements. She also reviews, drafts and negotiates intellectual property transfers and invention assignments agreements.
Business Owner and Founder
Lisa has served as CEO and in-house counsel for an emerging technology company. In this role she raised seed financing, built out a product, and managed a team of employees, contractors, designers and developers. She is a founder of Thorsen Legal.
