Keidi Carrington

Keidi Carrington is a securities law attorney with over 22 years of experience. A graduate of John Hopkins University, Keidi went on to get her law degree from New England Law and her Masters of Law (LLM) in Banking and Financial Law from Boston University School of Law.

Real World Securities Compliance

Keidi started her legal career as a Securities Compliance Examiner with the U.S. Securities & Exchange Commission (SEC). At the SEC Keidi led examinations and investigations of investment companies, investment advisors, hedge funds and transfer agents to ensure compliance with federal securities regulations such as the Investment Advisor Act of 1940, Investment Company Act of 1940, Securities Act of 1922 and the Securities Exchange Act of 1934.

International Banking Experience

After leaving State Street, Keidi became a Senior Regulatory Consultant to CompliGlobe Limited in London, UK. In this role she provided securities regulations and securities compliance consulting. Her clients included investment advisors, exempt reporting advisors, broker-dealers, commodity trading advisors and commodity pool operators.

Capital Raises and Commercial Financing

At Thorsen Legal, Keidi assists entrepreneurs with capital raises in the form of both debt financing and equity financing. She assists with friends and family fundraising, angel investments, and other capital raises. This includes convertible notes, SAFE notes, Seed Financing, Series A financing and beyond.

Securities Counsel

As a securities attorney with Thorsen Legal, Keidi drafts private placement memorandums (PPMs) and subscription agreements for hedge funds, private equity and venture fund formations. She represents securities issuers in private placements under Regulation D with respect to securities offerings to accredited investors and institutional investors. Keidi advises blockchain technology clients on Initial Coin Offerings (ICOs/Token Offerings). Keidi prepares periodic SEC filings such as Form 3, Form 4, Form 5, Form 10-K, Form 10-Q and Form 8-K.
